At Lufkin Industries, there is no issue more important than the lawful and ethical conduct of our senior management, employees and the Company’s Board of Directors as they interact with investors, customers, industry, government and others in every country and every community where we operate.

It is the responsibility of the Board of Directors to oversee the management of the Company’s business and to protect the interests of shareholders. To fulfill this responsibility, the Board upholds the procedures and standards that are set forth in its Code of Conduct for Employees, its Code of Ethics for Senior Financial Officers and in the charters for key Board committees. These standards are revised from time to time as the Board of Directors deems appropriate or as required by current laws and regulations.
